Brief of the Process

Deliverables:

*Documentation of deliverables prepared in Spanish and based on the Mexican regulatory framework:

1. Statutes for a Mexican Company and coordination of its constitution with the notary;

2. Share certificates;

3. Corporate books and preparation of initial entries (minutes of assembly, board meetings, share register and capital changes);

4. Application for trademark registration.

Registration:

1. Registration in the Federal Registry of Taxpayers;

2. Obtaining the Advanced Electronic Signature issued by the Tax Administration Service;

3. Registration in the National Registry of Foreign Investment;

4. Opening a bank account.

Deliverables: 

*The documentation prepared in Spanish and based on the Mexican regulatory framework and adapted to the Client's documentation:

1. Personalized AML/KYC Policy. Prevention of operations with proceeds of illegal origin (PLD/FT);

2. Privacy policy and personal data protection;

3. Terms and conditions;

4. Appointment of compliance officer.

Registration set up: 

Preparation of the application for registration in the Vulnerable Activities Registry / PLD system of the 

Ministry of Finance and Public Credit (Financial Intelligence Unit).

Third Party Requirements:

1. Select and cover the notary public fees. If you do not have one, we can give you several options.

2. Mexican SIM card (to obtain access to bank account).

3. Cover the cost of corporate bookkeeping.

4. Rental of home or office in Mexico.

5. Basic accounting and tax services: Invoices, Countability, Financial Status, Tax declarations.

Corporate Maintenance Services:

Acting as commissioner;

Preparation of the administration report;

Preparation of the anuuanl commissioner’s report;

Approval of annual financial statements;

Presentation of the notice to the tax authority of shareholders abroad.

*Covers the appointment of the Compliance Officer and monthly reporting.

Within the following month of the complete delivery of the requested information and payment.
